  1. Key Terms

RealSasl provides an online venue for Sign Language learning where Members, both Students and Teachers (terms defined below), can collaborate with each other and take advantage of the services (collectively, the "Services"). These Services are accessible at www.RealSasl.com and any other websites where RealSasl makes the Services available (collectively, the "Site"), and applications for mobile, tablet, and other smart devices and application program interfaces (collectively, the "Application").

If you are using the Site, Application or Services, these Terms of Service are between you and RealSasl CC (RealSasl CC is hereinafter referred to as "RealSasl", "we", "us", or "our"). RealSasl CC will handle any and all payments and pay-outs conducted through or in connection with the Site, Application or Services ("Payment Services"). Payment Services provided by RealSasl CC are subject to the Payments Terms of Service ("Payments Terms").

"Content" means all Content that RealSasl makes available through the Site, Application, Services, or its related promotional campaigns and official social media channels, including any Content licensed from a third party, but excluding Member Content.

"Member Account" means the RealSasl Account you open when you register to become a Member and use the Services.

"Member" means a person or legal entity that registers for an Account.

"Member Content" means all Content that a Member posts, uploads, publishes, submits, transmits, or includes in their Member profile or RealSasl promotional campaign to be made available through the Site, Application or Services.

"Services" means any of the Connection or Payment Services that are delivered by RealSasl.

"Student" means a Member that purchases Teaching Services.

"Tutor" means a Member that offers and delivers Teaching Services, and will be hereinafter be referred to as teacher or teachers.

"Professional Teacher" means a Member that offers and delivers Teaching Services, and will be hereinafter be referred to as teacher or teachers.

"Teacher" means a Member that offers and delivers Teaching Services, and will be hereinafter be referred to as teacher or teachers.

"Sign Language interpreter" means a Member that offers and delivers Teaching Services or interpreter services, and will be hereinafter be referred to as vvteacher or teachers.

"Teaching Services" means all Services delivered by Teachers, Tutors, Professional Teachers and Sign Language Interpreters. These include paid lessons, packages and other services rendered where RealSasl Credits are exchanged.

"User" means (1) a person who is a Member, using the Site or Application on his or her own behalf, or (2) a person who is using the Site or Application on behalf of a Member that is a company or organization.

"Visitor" means a person who is only visiting the Site or Application, not a Member or User.

"You" means a Visitor or Member accessing the Site or Application or using the Services on his or her own behalf; or, if the Services are used on behalf of a company or organization, "you" means the Member for which the Services are used and the User who accesses the Site or Application on behalf of such Member (and such User represents that he or she has the authority to do so on the Member's behalf).

  1. Terms of Service

By using the Site, Application or Services, you agree to comply with and be legally bound by the terms and conditions of these Terms of Service ("Terms"), whether or not you become a registered user of the Services. These Terms govern your access to and use of the Site, Application and Services and all Content (defined below), and your participation in the Referral Program (defined below), and constitute a binding legal agreement between you and RealSasl In addition, certain areas of the Site and Application (and your access to or use of certain aspects of the Services or Content) may have different terms and conditions, standards, guidelines, or policies posted or may require you to agree with and accept additional terms and conditions. If there is a conflict between these Terms and terms and conditions posted for a specific area of the Site, Application, Services, or Content, the latter terms and conditions will take precedence with respect to your use of or access to that area of the Site, Application, Services, or Content.

If you do not agree to these Terms, you have no right to obtain information from or otherwise continue using the Site, Application or Services. Failure to use the Site, Application or Services in accordance with these Terms may subject you to civil and criminal penalties.

THE SITE, APPLICATION AND SERVICES COMPRISE AN ONLINE VENUE FOR SIGN LANGUAGE LEARNING WHERE MEMBERS, BOTH STUDENTS AND TEACHERS HOSTS MAY TAKE ADVANTAGE OF CONNECTION SERVICES AND PAYMENT SERVICES DIRECTLY WITH EACH OTHER. YOU UNDERSTAND AND AGREE THAT REALSASL IS NOT A PARTY TO ANY AGREEMENTS ENTERED INTO BETWEEN STUDENTS AND TEACHERS OR BETWEEN MEMBERS, NOR IS REALSASL A SIGN LANGUAGE SERVICES AGENT. REALSASL HAS NO CONTROL OVER THE CONDUCT OF STUDENTS, TEACHERS, MEMBERS AND OTHER USERS OF THE SITE, APPLICATION AND SERVICES OR ANY SERVICES RENDERED BETWEEN THEM, AND DISCLAIMS ALL LIABILITY IN THIS REGARD TO THE MAXIMUM EXTENT PERMITTED BY LAW.

IF YOU CHOOSE TO TEACH ON REALSASL, YOU UNDERSTAND AND AGREE THAT YOUR RELATIONSHIP WITH REALSASL IS LIMITED TO BEING A MEMBER AND AN INDEPENDENT, THIRD-PARTY CONTRACTOR, AND NOT AN EMPLOYEE, AGENT, JOINT VENTURER OR PARTNER OF REALSASL FOR ANY REASON, AND YOU ACT EXCLUSIVELY ON YOUR OWN BEHALF AND FOR YOUR OWN BENEFIT, AND NOT ON BEHALF OF OR FOR THE BENEFIT OF REALSASL. REALSASL DOES NOT CONTROL, AND HAS NO RIGHT TO CONTROL, YOUR LISTING, YOUR ACTIVITIES ASSOCIATED WITH YOUR PROFILE OR LISTED SERVICES, OR ANY OTHER MATTERS RELATED TO ANY SERVICES THAT YOU PROVIDE. AS A MEMBER YOU AGREE NOT TO DO ANYTHING TO CREATE A FALSE IMPRESSION THAT YOU ARE ENDORSED BY, PARTNERING WITH, OR ACTING ON BEHALF OF OR FOR THE BENEFIT OF REALSASL, INCLUDING BY INAPPROPRIATELY USING ANY REALSASL INTELLECTUAL PROPERTY.

YOU ACKNOWLEDGE AND AGREE THAT, BY ACCESSING OR USING THE SITE, APPLICATION OR SERVICES OR BY DOWNLOADING OR POSTING ANY CONTENT FROM OR ON THE SITE, VIA THE APPLICATION OR THROUGH THE SERVICES, YOU ARE INDICATING THAT YOU HAVE READ, AND THAT YOU UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS AND RECEIVE OUR SERVICES WHETHER OR NOT YOU HAVE REGISTERED WITH THE SITE AND APPLICATION. IF YOU DO NOT AGREE TO THESE TERMS, THEN YOU HAVE NO RIGHT TO ACCESS OR USE THE SITE, APPLICATION, SERVICES, OR CONTENT.

If you accept or agree to these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to these Terms and, in such event, "you" and "your" will refer and apply to that company or other legal entity.

  1. Modification

RealSasl reserves the right, at its sole discretion, to modify the Site, Application or Services or to modify these Terms, including the Service Fees (commission fees), at any time and without prior notice. If we modify these Terms, we will either post the modification on the Site or the Application or otherwise provide you with notice of the modification. We will also update the "Last Updated" date at the top of these Terms. By continuing to access or use the Site, Application or Services after we have posted a modification on the Site or via the Application or have provided you with notice of a modification, you are indicating that you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, your only recourse is to cease using the Site, Application and Services.

  1. Eligibility

The Site, Application and Services are intended solely for persons who are 18 or older. Any access to or use of the Site, Application or Services by anyone under 18 is expressly prohibited. By accessing or using the Site, Application or Services you represent and warrant that you are 18 or older.

For users in the United States, RealSasl may, to the extent permitted by applicable laws and if we have sufficient information to identify a user, obtain reports from public records of criminal convictions or sex offender registrations of the user. For users outside the United States, we may, to the extent permitted by applicable laws and if we have sufficient information to identify a user, obtain the local version of background or registered sex offender checks in our sole discretion. You agree and authorize us to use your personal information, such as your full name and date of birth, to obtain such reports, including from RealSasl's vendors.

  1. How the Site, Application and Services Work

The Site, Application and Services can be used to provide an online venue where Members, Students and Teachers, can collaborate with each other and take advantage of Connection Services and Payment Services for Sign Language learning.

Connection Services. The Site or Application is a venue where:

  1. Members may upload information related to Sign Language learning.
  2. Members conduct searches, connect with, choose, and engage each other for the purposes of Sign Language learning.
  3. Students conduct searches, connect with, choose, and engage Teachers directly for Sign Language instruction.
  4. Teachers advertise their capabilities, respond to inquiries, connect with and engage to provide their Services directly to Students.

In providing the Connection Services, RealSasl only provides the venue for Students and Teachers to find and contract with each other.

Payment Services. The Site or Application is a platform for Students seeking online Sign Languages lessons or other Sign Language learning services to connect with Teachers seeking to provide online Sign Language lessons and other Sign Language learning services.

Payment Services also provide to Students and Teachers certain collaboration, feedback, credit purchase and payment tools, dispute resolution process and dispute assistance, and other Services (collectively, "Payment Services"). Payment Services does not mean Connection Services.

Teacher Services. Teacher services are described in more detail on the Teacher Terms of Service.

Unless explicitly specified otherwise in the RealSasl platform, RealSasl's responsibilities are limited to facilitating the availability of the Site, Application and Services.

  1. Account Registration

In order to access certain features of the Site and Application, and to participate in Sign Language learning Connection Services and Payment Services on RealSasl, you must register to create an account ("RealSasl Account") and become a Member. You may register to join directly via the Site or Application or as described in this section, but certain features, such as online teaching is only available when you register as a teacher on the APP.

You can also register to join by logging into your account with certain third-party social networking sites ("SNS") (including, but not limited to, Facebook; each such account is a "Third-Party Account"), via our Site or Application, as described below. As part of the functionality of the Site, Application and Services, you may link your RealSasl Account with Third-Party Accounts, by either: (i) providing your Third-Party Account login information to RealSasl through the Site, Services or Application; or (ii) allowing RealSasl to access your Third-Party Account, as permitted under the applicable terms and conditions that govern your use of each Third-Party Account. You represent that you are entitled to disclose your Third-Party Account login information to RealSasl and/or grant RealSasl access to your Third-Party Account (including, but not limited to, for use for the purposes described herein), without breach by you of any of the terms and conditions that govern your use of the applicable Third-Party Account and without obligating RealSasl to pay any fees or making RealSasl subject to any usage limitations imposed by such third-party service providers. By granting RealSasl access to any Third-Party Accounts, you understand that RealSasl will access, make available and store (if applicable) any Content that you have provided to and stored in your Third-Party Account ("SNS Content") so that it is available on and through the Site, Services and Application via your RealSasl Account and RealSasl Account profile page. Unless otherwise specified in these Terms, all SNS Content, if any, will be considered to be Member Content for all purposes of these Terms.

Depending on the Third-Party Accounts you choose and subject to the privacy settings that you have set in such Third-Party Accounts, personally identifiable information that you post to your Third-Party Accounts will be available on and through your RealSasl Account on the Site, Services and Application. Please note that if a Third-Party Account or associated service becomes unavailable or RealSasl's access to such Third-Party Account is terminated by the third-party service provider, then SNS Content will no longer be available on and through the Site, Services and Application. You have the ability to disable the connection between your RealSasl Account and your Third-Party Accounts, at any time, by accessing the "Settings" section of the Site and Application.

PLEASE NOTE THAT YOUR RELATIONSHIP WITH THE THIRD-PARTY SERVICE PROVIDERS ASSOCIATED WITH YOUR THIRD-PARTY ACCOUNTS IS GOVERNED SOLELY BY YOUR AGREEMENT(S) WITH SUCH THIRD-PARTY SERVICE PROVIDERS. RealSasl makes no effort to review any SNS Content for any purpose, including but not limited to for accuracy, legality or non-infringement and RealSasl is not responsible for any SNS Content.

Your RealSasl Account and your RealSasl Account profile page will be created for your use of the Site and Application based upon the personal information you provide to us or that we obtain via an SNS as described above. You may not have more than one (1) active RealSasl Account. You agree to provide accurate, current and complete information during the registration process and to update such information to keep it accurate, current and complete. RealSasl reserves the right to suspend or terminate your RealSasl Account and your access to the Site, Application and Services if you create more than one (1) RealSasl Account, or if any information provided during the registration process or thereafter proves to be inaccurate, fraudulent, not current, incomplete, or otherwise in violation of these Terms of Service.

You are responsible for safeguarding your password. You agree that you will not disclose your password to any third party and that you will take sole responsibility for any activities or actions under your RealSasl Account, whether or not you have authorized such activities or actions. You will immediately notify RealSasl of any unauthorized use of your RealSasl Account.

  1. General Member Terms

Our Services are available to legal entities and individuals, and individuals in business who can form legally binding contracts. To register for an Account with RealSasl and become a Member, you must accept all of the terms and conditions in, and linked to, the Terms of Service. RealSasl reserves the right in its sole discretion to refuse, suspend, or terminate service to anyone.

It is the sole responsibility of each registered Member that all personal details, including contact email addresses are up to date and accurate at all times. By accepting these terms and conditions all Members hereby release RealSasl from any claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, which arise due to inaccurate personal information being held on the site or application. All Members are solely responsible for the content and accuracy of any information published by them on RealSasl.

RealSasl reserve the right to suspend or terminate the membership of any registered Member for any reason. No refunds, payments or compensation of any kind will be paid to Members whose registration has been terminated due to breach of these terms and conditions.

  1. Privacy

  1. Intellectual Property

RealSasl and its licensors retain all of its right, title and interest in and to all patent rights, inventions, copyrights, know-how and trade secrets relating to the Site or Application. The RealSasl logo and name are trademarks of RealSasl, and may be registered in certain jurisdictions. All other product names, company names, marks, logos and symbols on the Site or Application may be the trademarks of their respective owners.

  1. Site and Application License

Subject to and conditioned on compliance with the Terms of Service, RealSasl grants you a limited license to access and, if you are a Member, to use this Site or Application internally for the purpose of ordering and receiving the Services available and authorized from this Site or Application. You must not sell, reproduce, distribute, modify, display, publicly perform, prepare derivative works based on, repost or otherwise use any content of this Site or Application in any way for any public or commercial purpose without prior written consent of RealSasl or the rights holder, unless such actions have previously been expressly permitted by RealSasl or the rights holder for the content in question. You will not attempt to reverse engineer or attempt to interfere with the operation of any part of this Site or Application unless expressly permitted by law. This Site or Application or any portion of this Site or Application may not be reproduced, duplicated, copied, sold, resold or otherwise exploited for any commercial purpose that is not expressly permitted by RealSasl.

  1. RealSasl Content and Member Content License

Subject to your compliance with these Terms RealSasl grants you a limited, non-exclusive, non-transferable license, to (i) access and view any RealSasl Content solely for your personal and non-commercial purposes and (ii) access and view any Member Content to which you are permitted access, solely for your personal and non-commercial purposes. You have no right to sublicense the license rights granted in this section.

You will not use, copy, adapt, modify, prepare derivative works based upon, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit the Site, Application, Services, or Content, except as expressly permitted in these Terms. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by RealSasl or its licensors, except for the licenses and rights expressly granted in these Terms.

  1. Member Content

We may, in our sole discretion, permit you to post, upload, publish, submit or transmit Member Content. By making available any Member Content on or through the Site, Application, Services, or through RealSasl promotional campaigns, you hereby grant to RealSasl a worldwide, irrevocable, perpetual (or for the term of the protection), non-exclusive, transferable, royalty-free license, with the right to sublicense, to use, view, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, access, view, and otherwise exploit such Member Content on, through, by means of or to promote or market the Site, Application and Services. RealSasl does not claim any ownership rights in any such Member Content and nothing in these Terms will be deemed to restrict any rights that you may have to use and exploit any such Member Content.

You acknowledge and agree that you are solely responsible for all RealSasl Content that you make available through the Site, Application, Services or through RealSasl promotional campaigns. Accordingly, you represent and warrant that: (i) you either are the sole and exclusive owner of all Member Content that you make available through the Site, Application, Services or through RealSasl promotional campaigns or you have all rights, licenses, consents and releases that are necessary to grant to RealSasl the rights in such Member Content, as contemplated under these Terms; and (ii) neither the Member Content nor your posting, uploading, publication, submission or transmittal of the Member Content or RealSasl’s use of the Member Content (or any portion thereof) on, through or by means of the Site, Application, the Services or RealSasl promotional campaigns will infringe, misappropriate or violate a third party's patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

  1. Links

The Site, Application and Services may contain links to third-party websites or resources. You acknowledge and agree that RealSasl is not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by RealSasl of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources or the Content, products or services on or available from such websites or resources.

  1. Enforcement of Terms of Service

We may suspend or cancel your Member Account if we believe that you have violated or acted inconsistently with the letter or spirit of the Terms of Service, or violated our rights or those of another party. Without limiting RealSasl's other remedies, we will suspend or terminate your Member Account and refuse to provide any Services to you if: (a) you breach any terms and conditions of the Terms of Service and the other written policies and procedures posted on the Site or Application; (b) we are unable to verify or authenticate any information you provide to us; or (c) we believe that your actions may cause legal liability for you, our Users or for RealSasl.

Once suspended or terminated, you may not continue to use the RealSasl service under a different Account or re-register under a new Account. This includes usage of any associated Payment Services. In addition, violations of the Terms of Service may be prosecuted to the fullest extent of the law and may result in additional penalties and sanctions. If a User or Member engages in actions or activities which circumvent the Site or Application or otherwise reduces service fees owed RealSasl under the Terms of Service, that User or Member will be liable to RealSasl for the service fees due, and may be subject to additional sanctions including, but not limited to, suspension or termination of RealSasl membership. RealSasl reserves the right to terminate any User or project for any reason, at its sole discretion and to refuse to provide registration and membership to you in the future. When your membership is canceled, you may no longer have access to data, messages, files and other material you keep on the Site or Application.

  1. Disclaimers

THE SERVICES PROVIDED BY REALSASL OR ANY OF OUR LICENSORS OR TEACHERS ARE PROVIDED "AS IS," AS AVAILABLE, AND WITHOUT ANY WARRANTIES OR CONDITIONS (EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OR TRADE). WE MAKE NO REPRESENTATIONS OR WARRANTIES, OF ANY KIND, EITHER EXPRESS OR IMPLIED, AS TO THE QUALITY, IDENTITY OR RELIABILITY OF ANY THIRD PARTY, OR AS TO THE ACCURACY OF THE POSTINGS MADE ON THE WEB SITE OR APPLICATION BY ANY THIRD PARTY. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

  1. Limitation of Liability

IN NO EVENT SHALL WE OR OUR LICENSORS OR TEACHERS BE LIABLE TO YOU OR ANY OTHER MEMBER FOR ANY SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES PURSUANT TO THIS AGREEMENT, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITIES OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW FOR THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU.

  1. Indemnification

You agree to defend, hold harmless and indemnify RealSasl from and against any and all losses, costs, expenses, damages or other liabilities incurred by RealSasl from and against any cost, liability, loss, damage, cause of action, claim, suit, proceeding, demand or action brought by a third party against RealSasl: (a) in connection with your use of the Services including any payment obligations incurred through use of the Services; or (b) resulting from: (i) your use of the Site or Application(ii) your decision to supply credit information via the Site or Application, including personal financial information; (iii) your decision to submit postings and accept offers from other Members; (iv) any breach of contract or other claims made by Members with which you conducted business through the Site or Application; (v) your breach of any provision of this Agreement; (vi) any liability arising from the tax treatment of payments or any portion thereof; (vii) any negligent or intentional wrongdoing by any Member; (viii) any act or omission of yours with respect to the payment of fees to any Teacher; (ix) your dispute of or failure to pay any invoice or any other payment; and/or (x) your obligations as a Teacher or to a Teacher. Any such indemnification shall be conditioned on our: (a) notifying you in writing of any such claim, demand, action, cost, liability, loss or threat of any thereof; (b) cooperating with you in the defence or settlement thereof; and (c) allowing you to control such defence or settlement. We shall be entitled to participate in such defence through our own counsel at our own cost and expense. We reserve the right to report any wrongdoing of which we become aware to the applicable government agencies or otherwise.

  1. Accessing and Downloading the Application from Google LLC Play Store

The following applies to any Application accessed through or downloaded from the Google LLC Play Store ("App Store Sourced Application’s):

  • You acknowledge and agree that (i) these Terms are concluded between you and RealSasl only, and not Google LLC, and (ii) RealSasl, Google LLC, is solely responsible for the App Store Sourced Application and content thereof. Your use of the App Store Sourced Application must comply with the App Store Terms of Services.
  • You acknowledge that Google LLC has no obligation whatsoever to furnish any maintenance and support services with respect to the App Store Sourced Application.
  • In the event of any failure of the App Store Sourced Application to conform to any applicable warranty, you may notify Google LLC, and Google LLC will refund the purchase price for the App Store Sourced Application to you and to the maximum extent permitted by applicable law, Google LLC will have no other warranty obligation whatsoever with respect to the App Store Sourced Application. As between RealSasl and Google LLC, any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be the sole responsibility of RealSasl.
  • You and RealSasl acknowledge that, as between RealSasl and Google LLC, Google LLC is not responsible for addressing any claims you have or any claims of any third party relating to the App Store Sourced Application or your possession and use of the App Store Sourced Application, including, but not limited to: (i) product liability claims; (ii) any claim that the App Store Sourced Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.
  • You and RealSasl acknowledge that, in the event of any third-party claim that the App Store Sourced Application or your possession and use of that App Store Sourced Application infringes that third party's intellectual property rights, as between RealSasl and Google LLC, RealSasl, not Google LLC, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim to the extent required by these Terms.
  • You and RealSasl acknowledge and agree that Google LLC, and Google LLC's subsidiaries, are third-party beneficiaries of these Terms as related to your license of the App Store Sourced Application, and that, upon your acceptance of the terms and conditions of these Terms, Google LLC will have the right (and will be deemed to have accepted the right) to enforce these Terms as related to your license of the App Store Sourced Application against you as a third-party beneficiary thereof.
  • Without limiting any other terms of these Terms, you must comply with all applicable third-party terms of agreement when using the App Store Sourced Application.
  1. Entire Agreement

Except as they may be supplemented by additional RealSasl policies, guidelines, standards, or terms for a specific product, feature, service or offering, these Terms (and the terms below) constitute the entire and exclusive understanding and agreement between RealSasl and you regarding the Site, Application, Services, Content, and any Teaching Services Requests made via the Site, Application and Services, and these Terms supersede and replace any and all prior oral or written understandings or agreements between RealSasl and you regarding bookings or listings of Accommodations, the Site, Application, Services, and Content.

  1. Ability to Accept Terms of Service

You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Service, and to abide by and comply with these Terms of Service. In any case, you affirm that you are over the age of 16, as the Service is not intended for children under 16.

  1. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without RealSasl's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. RealSasl may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

  1. Notices

Unless you otherwise indicate in writing to Customer Service, RealSasl will communicate with you by email or by posting communications on this Site or Application. You consent to receive communications from us electronically and you agree that these electronic communications satisfy any legal requirement that such communications be in writing. You will be considered to have received a communication when RealSasl sends it to the email address you have provided to RealSasl on this Site or Application, or when RealSasl posts such communication on this Site or Application. You must keep your email address updated on this Site or Application, and you must regularly check this Site or Application for postings. If you fail to respond to an email message from RealSasl regarding violation, dispute or complaint within two business days, RealSasl will have the right to terminate or suspend your membership or your registration.

All notices to RealSasl intended to have a legal effect concerning this Agreement must be in writing and delivered either in person or by a means evidenced by a delivery receipt, to the following address:

  1. Controlling Law and Jurisdiction

The Terms of Service are governed in all respects by the laws of South Africa without giving effect to any principle that may provide for the application of the law of another jurisdiction. You agree that any claim or dispute you may have against RealSasl must be resolved by a court located in South Africa. You hereby submit to the personal jurisdiction of the courts located within South Africa for the purpose of litigating all such claims or disputes. Any cause of action you may have with respect to this Site or Application must be commenced within 30 days after it arises, or the cause of action is barred.

  1. Dispute Resolution

If a dispute arises between you and RealSasl, our goal is to resolve such dispute quickly and cost effectively. Accordingly, you and RealSasl agree that we will resolve any claim or controversy at law or equity that arises between us out of this Agreement or the RealSasl Services (a "Claim") in accordance with this section entitled "Dispute Resolution." Before resorting to these alternatives, you agree to first contact us directly to seek dispute assistance by going to Contacting Us.

Improperly Filed Claims

Should you file a claim contrary to this section entitled "Dispute Resolution," RealSasl will be entitled to recover attorneys' fees and costs up to ZAR 20,000, provided that RealSasl has notified you in accordance with the Terms of Service of the improperly filed claim, and you have failed to promptly withdraw the claim.

  1. General

The failure of RealSasl to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of RealSasl. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise. If for any reason an arbitrator or a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.

These terms and conditions (“Payments Terms”) govern the Payment Services between you and RealSasl CC (RealSasl CC, is hereinafter referred to as "RealSasl", "we", "us", or "our"). RealSasl CC will handle any and all payments and payouts conducted through or in connection with the Site, Application or Services ("Payment Services").

These Payment Terms constitute a binding legal agreement between you and RealSasl HK Limited.

YOU ACKNOWLEDGE AND AGREE THAT, BY USING THE PAYMENT SERVICES, YOU ARE INDICATING THAT YOU HAVE READ, AND THAT YOU UNDERSTAND AND AGREE TO BE BOUND BY THESE PAYMENTS TERMS. IF YOU DO NOT AGREE TO THESE PAYMENTS TERMS, THEN YOU HAVE NO RIGHT TO ACCESS OR USE THE PAYMENT SERVICES.

Failure to use the Payment Services in accordance with these Payments Terms may subject you to civil and criminal penalties. If you accept or agree to these Payments Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to these Payments Terms and, in such event, “you” and “your” will refer and apply to that company or other legal entity.

PLEASE NOTE THAT, AS STATED ABOVE, THE SITE, APPLICATION AND SERVICES ARE INTENDED TO BE USED TO FACILITATE TEACHERS AND STUDENTS CONNECTING AND BOOKING ONLINE SIGN LANGUAGE LESSONS DIRECTLY WITH EACH OTHER. REALSASL CANNOT AND DOES NOT CONTROL THE CONTENT CONTAINED IN ANY TEACHER OR STUDENT PROFILES AND IS NOT RESPONSIBLE FOR THE METHODS, MATERIALS, ONLINE DELIVERY TOOLS AND ALL ASPECTS OF THE LESSONS. REALSASL IS NOT RESPONSIBLE FOR AND DISCLAIMS ANY AND ALL LIABILITY RELATED TO ANY AND ALL LESSONS. ACCORDINGLY, ANY PAYMENT SERVICES WILL BE MADE OR ACCEPTED AT THE MEMBER'S OWN RISK.

27. Modification

RealSasl reserves the right, at its sole discretion, to modify or terminate the Payment Services or to modify these Payments Terms at any time and without prior notice. If we modify these Payments Terms, we will either post the modification on the Site or via the Application or otherwise provide you with notice of the modification. We will also update the “Last Updated” date at the top of these Payments Terms. By continuing to use the Payment Services after we have posted a modification on the Site or via the Application or have provided you with notice of a modification, you are indicating that you agree to be bound by the modified Payments Terms. If the modified Payments Terms are not acceptable to you, your only recourse is to cease using the Payment Services.

28. Eligibility

The Payment Services are intended solely for persons who are 18 or older. Any use of the Payment Services by anyone under 18 is expressly prohibited. By using the Payment Services you represent and warrant that you are 18 or older.

29. Account Registration and Identity Verification

In order to use the Payment Services, you must first register to create a RealSasl Account and become a Member in accordance with the Terms of Service. You acknowledge, consent and agree that anyone you authorize to use your Member Account may use the Payment Services on your behalf and that you will be responsible for any payments made by such person.

You authorize RealSasl, directly or through third parties, to make any inquiries we consider necessary to help verify or check your identity or prevent fraud. This may include asking you to provide a form of government identification (e.g. driver’s license or passport), your date of birth, and other information requiring you to take steps to confirm ownership of your email address, Payment Methods or Payout Methods; or attempting to screen your information against third party databases. You further authorize RealSasl (or its affiliates) to request a consumer report on you from a Consumer Reporting Agency. This consumer report will be requested and utilized in compliance with applicable law, included the Fair Credit Reporting Act. RealSasl reserves the right to close, suspend, or limit access to the Payment Services in the event we are unable to obtain or verify any of this information.

30. Key Terms for Payment Services

"RealSasl Credits" - RealSasl Credits are a virtual currency purchased from RealSasl. They can be used solely on the Site or Application to purchase Services and have no value outside of RealSasl. All Services on the Site or Application are paid for with RealSasl Credits.

"Lesson Fees" and "Package Fees" - Lesson and Package Fees are the amounts that are due and payable by a Student for confirmed Sign Language lessons that have been given by a Teacher. The Teacher alone, and not RealSasl, is responsible setting the Lesson Fees or Package Fees.

"Service Fees" - Service Fees are the fees RealSasl charges to the Teacher when using RealSasl Services.

"Student Wallet" - A Student Wallet is an account created by Students to purchase RealSasl Credits that will be spent on RealSasl. RealSasl Credits in a Student Wallet can be used to pay for services provided by Teachers, and other Services offered by the Site or Application.
A Student may add RealSasl Credits to their Student Wallet by any of the payment methods available on the Site or Application. The Student must reasonably intend that such amounts will be used to pay RealSasl or Teachers for Services purchased through the Site or Application.

"Payment Method" - Payment Method is the service that a Student uses to purchase RealSasl Credits. Examples of payment methods are credit card, debit card, or PayPal.

"Teacher Wallet" - A Teacher Wallet is an account created by Teachers to receive payment for Teacher Services. As a Teacher, you must use the Teacher Wallet Service to receive payment from Students.

"Withdrawal Method" - Withdrawal Method is the service that a Teacher uses to exchange RealSasl Credits for currency. Examples of withdrawal methods are PayPal, and other third party payment providers.

 

General Relationship

RealSasl Provides the Venue
RealSasl makes the Site or Application available as an online venue where Members locate and connect with each other and take advantage of the Services. RealSasl is not involved in the dealing and contracting between Students and Teachers, or in the Teachers' delivery of Teaching Services to Students. RealSasl has no control over and does not guarantee the quality, safety or legality of Teaching Services advertised, the truth or accuracy of listings, the qualifications, background, or abilities of Teachers, the ability of Teachers to deliver Teaching Services, the ability of Students to pay for Teaching Services, or that a Student or Teacher can or will actually complete a transaction.

Performance of Lesson Contracts
Upon confirmation of Teacher Services, time, and price by both the Student and the Teacher, the Student agrees to purchase, and the Teacher agrees to deliver, the Teacher Services in accordance with the Terms of Service (collectively the "Lesson Contract"). You agree not to enter into any contractual provisions in conflict with the Terms of Service. The Student and Teacher each covenants and agrees to act with good faith and fair dealing in performance of the Lesson Contract. Furthermore, the Student and Teacher each acknowledges and agrees that the value, reputation, and goodwill of the Site or Application depend on their performance of the foregoing covenants and agreements. The Student and the Teacher therefore agree that RealSasl has the right to take such actions with respect to the Lesson Contract, including without limitation suspension, termination, or legal actions, as RealSasl in its sole discretion deems necessary to protect the value, reputation, and goodwill of the Site or Application.

Financial Terms for Students

For Students, you must use RealSasl Credits to receive Teaching Services from a Teacher. RealSasl provides Students with a "Wallet". The Wallet is used to hold RealSasl Credits, and to make payments with RealSasl Credits, for the purchase of Teaching Services.

Purchasing RealSasl Credits

In order to acquire RealSasl Credits, you use a third-party payment method (example: credit card, PayPal, and others) to pay for the necessary amount. By providing RealSasl with your credit card or bank account information, you authorize us to charge such credit card or bank account for the amounts stated on the payment page. Following a successful transaction, your Student Wallet will have the corresponding amount of RealSasl Credits.

No Refunds on Authorized Payments

Authorized payments are final. No refunds will be given for RealSasl Credits purchased.

Third Party Payment Method Fees

When purchasing RealSasl Credits, there may be fees that are charged to a Student by the third-party payment provider or the Student's bank. These fees are not under RealSasl's control, and RealSasl disclaims all liability in this regard. Whatever Payment Method you use may be subject to additional terms and conditions imposed by the applicable third-party payment provider. It is up to the user to review the terms and conditions before using a third-party payment method.

Cancelled Lesson Requests

If a Lesson Request is cancelled by the Student, declined by the teacher, or expires (not confirmed by the Teacher within the request period), the RealSasl Credits will be fully refunded to the Student’s Wallet.

Confirmation of Lessons

When a student makes a booking, you as the student authorise RealSasl to take credits from your online wallet to pay for the lesson, if however, the lesson was not confirmed by the Teacher within the requested period, the Realsasl Credits will be fully refunded to the Student’s Wallet.

Feedback and Ratings on Lessons

As a Student, when your lesson with the teacher was successfully completed, you will have the option to review the teacher, leaving feedback or a rating is optional. However, if you do so, you agree that your feedback will not be used to artificially raise or lower a teacher's rating, commit fraud, spam, insult, harass, threaten, or enact intentional misuse.

You agree to report violations or abuses of our rating and feedback system immediately by contacting Customer Service, and agree not to take any actions that undermine the integrity of the feedback system.

Disputes with Teachers

In the event there is a disagreement with a teacher, there are two phases to resolving the dispute.
Phase 1: Member Resolution – The Student and Teacher should discuss and reach agreement on what services should be provided, and whether the RealSasl Credits should be transferred to the Student or the Teacher. Any new terms that are agreed by the Student and Teacher should be submitted to RealSasl, for a written record.
Phase 2: RealSasl Dispute Judgment – If the Student and Teacher cannot agree, then the dispute will be handled by RealSasl. RealSasl will review any evidence and submitted materials pertaining to the Dispute and make a final ruling.

In the event that there is a dispute as to who canceled a package and the Student and Teacher cannot reach a compromise, then RealSasl will mediate the dispute. RealSasl's decision on the dispute is final.

31. Financial Terms for Teachers

For Teachers, you must use RealSasl Credits to receive payment for Teaching Services from a Student. RealSasl provides Teachers with a "Wallet". The Teacher Wallet is used to hold RealSasl Credits, and to make withdrawals of RealSasl Credits to a Teacher's personal funds.

Accepting Teacher Service Requests

Teachers will receive requests for Teacher Services ("Lesson Requests"). By accepting a Lesson Request, you agree to provide your Teaching Services to the Student at the date and time set inside the request. You can choose to decline the request. If you do not respond, the request will automatically expire.

Cancelations of Lesson Requests

If RealSasl decides for any reason that it is necessary or desirable to cancel a confirmed Teacher Services Request made via the Site, Application and Services pursuant to RealSasl Terms of Service, you agree that RealSasl and the relevant Student or Teacher will not have any liability for such cancelations or refunds.

Disputes with Students

In the event there is a disagreement with a student, there are two phases to resolving the dispute.
Phase 1: Member Resolution – The Student and Teacher should discuss and reach agreement on what services should be provided, and whether the RealSasl Credits should be transferred to the Student or the Teacher. In the event that there is a dispute as to who canceled a package and the Student and Teacher cannot reach a compromise, then RealSasl will mediate the dispute. RealSasl's decision on the dispute is final. Please note that in the case of a dispute, it is up to the Teacher and the Student to provide proof to RealSasl to support their positions.

RealSasl Service Fees

RealSasl collects service fees when a Teaching Service ("lesson") is confirmed by the Student. For each transaction on the Site or Application, the fees are 30% of the total cost of the Teacher Service ("lesson"). Fees due to RealSasl are deducted upon transfer of RealSasl Credits to the Teacher's Teacher Wallet.

The balance shown on the Teacher's Teacher Wallet is the full balance after all fees have been deducted. Amounts may be rounded up or down as described the “Rounding Off” section.

RealSasl does not charge any fees for the Teacher to register or create a listing for Teacher Services on RealSasl. To the extent any refunds are issued, service fees will be based on the amount that is not refunded back to the Student.

Circumvention of Service Fees

Teachers agree not to engage in any action or activity meant to circumvent the service fees. Prohibited practices include (but are not limited to) the following:

  • Suggesting, soliciting, or accepting payment by other means outside the RealSasl Payment Service.
  • Failing to report accurate or final service prices on the Site, or a service price different than that agreed between Student and Teacher.
Withdrawal of Funds

When withdrawing RealSasl Credits, there may be fees that are charged to a Teacher by the third-party payment method or the Teacher's bank. These fees are not under RealSasl's control, and RealSasl disclaims all liability in this regard. Whatever third-party payment method that is used by Teachers may be subject to additional terms and conditions imposed by the third-party payment provider. It is up to the Teacher to review the terms and conditions before using a third-party payment method.

Withholding or Delaying Disbursement of Funds

If RealSasl reasonably concludes, based on information available to RealSasl, that a Teacher's actions may have resulted or will result in a significant number of disputes, refunds or other claims from users who purchased their Teaching Services, RealSasl reserves the right to delay or stop the disbursement of all funds accrued in a Teacher's Teacher Wallet. If RealSasl concludes that a teacher has violated the Terms (including the Privacy Policy, Community Policy, and Teacher Terms), RealSasl can refuse to disburse the funds accrued in the Teacher's Teacher Wallet and debit such funds from the Teacher Wallet.

RealSasl's Rights Regarding Reimbursements

RealSasl reserves the right to seek reimbursement from a Teacher if RealSasl, in its sole discretion, (a) provides a refund to a Student if the Teacher cannot promptly deliver the purchased Teacher Services, or (b) discover erroneous or duplicate transactions. The Teacher authorizes RealSasl to obtain such reimbursement by deducting from future payments owed to the Teacher, reversing any credits to the Teacher's Account, debiting the Teacher's bank account, or seeking such reimbursement from the Teacher by any other lawful means.

Rounding Off

RealSasl may, in its sole discretion, round up or round down amounts that are payable from or to Teachers or Students to the nearest whole functional base unit in which the currency is denominated (e.g. to the nearest dollar); for example RealSasl will round up an amount of $101.50 to $102.00, and $101.49 to $101.00.

32. Taxes

A teacher understands and agrees that they are solely responsible for determining their applicable Tax reporting requirements and obligations relating to applicable Taxes for their services. They are also solely responsible for remitting to the relevant authority any Taxes included or received. RealSasl cannot and does not offer Tax-related advice to any Members.

Teachers, tutors, assistant teachers and Sign Language interpreters in South Africa - RealSasl might report the income of Teachers, tutors, assistant teachers and Sign Language interpreters in South Africa based in South Africa.

33. RealSasl Credits Policies

RealSasl Credits are not Bank Deposits

You acknowledge that: (1) RealSasl is not a bank and the Student Wallet and Teacher Wallet is a payment service rather than a banking service; and (2) RealSasl is not acting as a trustee or fiduciary with respect to your funds, but is acting only as a custodian. (3) REALSASL IS NOT A BANK, AND AMOUNTS TRANSFERRED THROUGH OR STORED IN THE STUDENT WALLET OR TEACHER WALLET ARE NOT INSURED DEPOSITS.

RealSasl Credits Expiration Policy

RealSasl Credits in a member account will be valid for as long as the member remains active on RealSasl. If the member has not logged into his/her account at least once in the previous year, the RealSasl Credits will expire. For a member to keep their RealSasl Credits active, they must login at least once every year to their RealSasl account. RealSasl Credits are then valid for another 1 year following the most recent login date.

Foreign Exchange Risk

The Student Wallet and Teacher Wallet Services operates in RealSasl Credits which are tied to US Dollars. RealSasl is not responsible for currency fluctuations that occur when billing or crediting a credit or debit card denominated in a currency other than USD, nor is RealSasl responsible for currency fluctuations that occur when receiving or sending payment via third party payments when purchasing RealSasl Credits or withdrawing a RealSasl Credits balance.

RealSasl Credits Limitations

RealSasl Credits are valid only when purchased on RealSasl or through authorized RealSasl partners. RealSasl Credits in the form of RealSasl Gift Cards or Vouchers cannot be resold or redeemed for cash. RealSasl Credits redeemed from Gift Cards or Vouchers purchased through unofficial sources or channels are subject to cancelation without notice.

34. RealSasl's Rights Regarding User Accounts and Funds

Security and financial fraud

As a security measure, RealSasl may impose transaction limits on some or all Students and Teachers relating to the value of any transaction or disbursement, the cumulative value of all transactions or disbursements during a period of time, or the number of transactions per day or other period of time. We will impose these limits before any services are rendered if we determine it is necessary for security reasons or the prevention of fraud.

RealSasl reserves the right to void RealSasl Credit purchases if purchases are found to be fraudulent. This includes RealSasl Credits that have been redeemed from fraudulent RealSasl Gift Card purchases.

Interest compensation

RealSasl may earn interest or other compensation from the balances in bank accounts that result from the timing difference between the payment for Teacher Services and the disbursement of the corresponding funds to Teachers. Teachers and Students are not entitled to any such interest or other compensation.

Reservation of Rights for Erroneous Transactions

RealSasl reserves the right to seek reimbursement from any Teacher or Student. The Teacher or Student will reimburse RealSasl if RealSasl discovers erroneous or duplicate transactions for the amount of such transaction from such Teacher or Student. RealSasl may obtain such reimbursement by deducting from future payments owed to such Teacher, by reversing any credits to such Teacher's bank account, or by seeking reimbursement from such Teacher by any other lawful means.

Prohibition on Friendly Fraud

"Friendly Fraud" is when a person initiates a fraud dispute with a payment provider, claiming that their credit card (or other payment method) was not intended to be used. Because RealSasl does not offer refunds, users that disagree with the policy have tried to use friendly fraud to receive a refund.

This type of behaviour is illegal and prohibited by all payment providers. RealSasl also strictly opposes friendly fraud. If friendly fraud is discovered, the student's account and wallet will be deactivated, purchased credits will be confiscated, and the user will be noted as a financial security risk.

In the case of honest mistakes, RealSasl can reverse the transaction. We strongly advise students to contact RealSasl customer service (This email address is being protected from spambots. You need JavaScript enabled to view it. or contact us on the APP) to resolve any financial disputes.

35. User Conduct

You understand and agree that you are solely responsible for compliance with any and all laws, rules, regulations, and tax obligations that may apply to your use of the Payment Services. In connection with your use of the Payment Services, you may not and you agree that you will not:

  • Violate any local, state, provincial, national, or other law or regulation, or any order of a court;
  • Use the Payment Services for any commercial or other purposes that are not expressly permitted by these Terms;
  • Use the Payment Services to transmit, distribute, post or submit any information concerning any other person or entity, including without limitation, personal contact information or credit, debit, calling card or account numbers, or photographs of others without their permission;
  • Register any Payment Method with your RealSasl account that is not yours or you do not have authorization to use;
  • Attempt to probe, scan, or test the vulnerability of any RealSasl system or network or breach any security or authentication measures;
  • Avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by RealSasl or any other third party (including another user) to protect the Payment Services;
  • Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Payment Services to send altered, deceptive or false source-identifying information;
  • Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Payment Services;
  • Advocate, encourage, or assist any third party in doing any of the foregoing.

RealSasl has the right to investigate and prosecute violations of any of the above to the fullest extent of the law. In addition, and as set in these Payments Terms, RealSasl may take a range of actions against you, including but not limited to limiting access to your RealSasl Account and any associated Payment Services, for a violation of these Payments Terms.

36. Enforcement of Terms of Service

We may suspend or cancel your Member Account if we believe that you have violated or acted inconsistently with the letter or spirit of the Terms of Service, or violated our rights or those of another party. Without limiting RealSasl's other remedies, we will suspend or terminate your Member Account and refuse to provide any Services to you if: (a) you breach any terms and conditions of the Terms of Service and the other written policies and procedures posted on the Site or Application; (b) we are unable to verify or authenticate any information you provide to us; or (c) we believe that your actions may cause legal liability for you, our Users or for RealSasl.

Once suspended or terminated, you may not continue to use the RealSasl service under a different Account or re-register under a new Account. This includes usage of any associated Payment Services. In addition, violations of the Terms of Service may be prosecuted to the fullest extent of the law and may result in additional penalties and sanctions. If a User or Member engages in actions or activities which circumvent the Site or Application or otherwise reduces service fees owed RealSasl under the Terms of Service, that User or Member will be liable to RealSasl for the service fees due, and may be subject to additional sanctions including, but not limited to, suspension or termination of RealSasl membership. RealSasl reserves the right to terminate any User or project for any reason, at its sole discretion and to refuse to provide registration and membership to you in the future. When your membership is canceled, you may no longer have access to data, messages, files and other material you keep on the Site or Application.

IF YOU CHOOSE TO USE THE PAYMENT SERVICES, YOU DO SO AT YOUR SOLE RISK. YOU ACKNOWLEDGE AND AGREE THAT REALSASL PROVIDES THE PAYMENT SERVICES “AS IS”, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, REALSASL EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. REALSASL MAKES NO WARRANTY THAT THE PAYMENT SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. REALSASL MAKES NO WARRANTY REGARDING THE QUALITY OF THE PAYMENT SERVICES.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM REALSASL PAYMENTS OR THROUGH THE SITE, APPLICATION, SERVICES OR COLLECTIVE CONTENT, WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

NOTWITHSTANDING REALSASL’S APPOINTMENT AS THE LIMITED PAYMENT COLLECTION AGENT OF THE TEACHERS FOR THE PURPOSE OF ACCEPTING PAYMENTS FROM STUDENTS ON BEHALF OF THE TEACHERS, REALSASL EXPLICITLY DISCLAIMS ALL LIABILITY FOR ANY ACT OR OMISSION OF ANY GUEST OR OTHER THIRD PARTY.

38. Limitation of Liability

YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ENTIRE RISK ARISING OUT OF THE PAYMENT SERVICES REMAINS WITH YOU. IF YOU PERMIT OR AUTHORIZE ANOTHER PERSON TO USE YOUR REALSASL ACCOUNT IN ANY WAY, YOU ARE RESPONSIBLE FOR THE ACTIONS TAKEN BY THAT PERSON. NEITHER REALSASL NOR ANY OTHER PARTY INVOLVED IN PROVIDING PAYMENT SERVICES WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, OR FOR ANY DAMAGES FOR PERSONAL OR BODILY INJURY OR EMOTIONAL DISTRESS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, FROM THE USE OF OR INABILITY TO USE THE PAYMENT SERVICES, FROM ANY COMMUNICATIONS, INTERACTIONS OR MEETINGS WITH OTHER PERSONS WITH WHOM YOU COMMUNICATE OR INTERACT AS A RESULT OF YOUR USE OF THE PAYMENT SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT REALSASL PAYMENTS HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

EXCEPT FOR OUR OBLIGATIONS TO PAY AMOUNTS TO APPLICABLE PURSUANT TO THESE TERMS OR AN APPROVED PAYMENT REQUEST UNDER THE REALSASL TEACHER GUARANTEE, IN NO EVENT WILL REALSASL’S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS AND YOUR USE OF THE PAYMENT SERVICES INCLUDING, BUT NOT LIMITED TO, FROM THE USE OF OR INABILITY TO USE PAYMENT SERVICES, EXCEED THE AMOUNTS YOU HAVE PAID OR OWE FOR TEACHING SERVICES VIA THE REALSASL PLATFORM AS A STUDENT IN THE TWELVE (12) MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR IF YOU ARE A TEACHER, THE AMOUNTS PAID BY REALSASL TO YOU IN THE TWELVE (12) MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED U.S. DOLLARS (US$100), IF NO SUCH PAYMENTS HAVE BEEN MADE, AS APPLICABLE. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN REALSASL AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

39. Indemnification

You agree to release, defend, indemnify, and hold RealSasl and its affiliates and subsidiaries, and their officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (a) your access to or use of the Payment Services, or your violation of these Payments Terms; or (b) your accrual or use of any RealSasl Credits.

40. Entire Agreement

Except as they may be supplemented by additional RealSasl policies, guidelines, standards, or terms for a specific product, feature, service or offering, these Terms (and the terms below) constitute the entire and exclusive understanding and agreement between RealSasl and you regarding the Site, Application, Services, Content, and any Teaching Services Requests made via the Site, Application and Services, and these Terms supersede and replace any and all prior oral or written understandings or agreements between RealSasl and you regarding bookings or listings of Accommodations, the Site, Application, Services, and Content.

41. Assignment

You may not assign or transfer these Payments Terms, by operation of law or otherwise, without RealSasl’s prior written consent. Any attempt by you to assign or transfer these Payments Terms, without such consent, will be null and of no effect. RealSasl may assign or transfer these Payments Terms, at its sole discretion, without restriction. Subject to the foregoing, these Payments Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

42. Notices

Any notices or other communications permitted or required hereunder, including those regarding modifications to these Payments Terms, will be in writing and given by RealSasl (i) via email (in each case to the address that you provide) or (ii) by posting to the RealSasl Site or via the Application. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.

43. Controlling Law and Jurisdiction

The Terms of Service are governed in all respects by the laws of South Africa without giving effect to any principle that may provide for the application of the law of another jurisdiction. You agree that any claim or dispute you may have against RealSasl must be resolved by a court located in South Africa. Any cause of action you may have with respect to this Site or Application must be commenced within 30 days after it arises, or the cause of action is barred.

44. Dispute Resolution

If a dispute arises between you and RealSasl, our goal is to resolve such dispute quickly and cost effectively. You agree to first contact us directly to seek dispute assistance by going to Contact Us. You and RealSasl agree to resolve any claim or controversy at law or equity that arises between us out of this Agreement or the RealSasl Services (a "Claim") with Dispute Resolution.

Improperly Filed Claims
Should you file a claim contrary to this section entitled "Disputes Resolution," RealSasl will be entitled to recover attorneys' fees and costs up to ZAR 20,000, provided that RealSasl has notified you in accordance with the Terms of Service of the improperly filed claim, and you have failed to promptly withdraw the claim.

45. General

The failure of RealSasl to enforce any right or provision of these Payments Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of RealSasl. Except as expressly set forth in these Payments Terms, the exercise by either party of any of its remedies under these Payments Terms will be without prejudice to its other remedies under these Payments Terms or otherwise. If for any reason an arbitrator or a court of competent jurisdiction finds any provision of these Payments Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Payments Terms will remain in full force and effect.

  1. Teacher Terms of Service

If you want to offer Teaching Services on RealSasl, you must read and agree to be bound by these Terms and Conditions for Teachers ("Teacher Terms") which are part of and incorporated into the RealSasl Terms of Service and Payment Terms of Service ("Terms"). These Teacher Terms will apply to any Account that is approved to be a Teacher on the Site. If you do not accept these Teacher Terms in full, you are not authorized to teach on the Site and you are not eligible to receive any benefits from RealSasl for any Teaching Services you provide.

48. Teacher Registration and Service Listing

Approval for Teaching Services

In order to become a "Teacher", you must first submit a complete Teacher Application. Completed Teacher Applications are evaluated by RealSasl for approval. If your Teacher Application is approved, you will be listed as a teacher and students will be able to find you in the “FIND A SIGN LANGUAGE TUTOR” Section of the APP. You will have the ability to create and manage a Teacher Profile on our Site. As a Teacher, you can begin providing "Teaching Services".

Teaching Services Description

In order to provide lessons, Teachers must create a description of their Teaching Services on RealSasl. When creating the description of your Teaching Services, you agree to the following guidelines:

  • Write a specific, detailed service description with clear scope, deliverables and lessons.
  • Set expectations that you can meet or exceed.
  • Not create services that are made with the intent to commit fraud, or provide services other than the ones outlined in the description. This includes offering your Services in exchange for positive feedback or for no cost.
  • Not advertise any third-party teaching service, platform, software, or app.
  • Not include any personal contact information, including but not limited to, email, telephone number, or social media ID on the visible profile.

49. Providing Teaching Services

Guidelines for providing your Teaching Services

Once you have received a Teaching Services request, you agree to the following guidelines:

  • Use the RealSasl platform to manage Student requests.
  • Respond promptly, within 48 hours, to all lesson-related communication, whether from the Student or from RealSasl.
  • Maintain a record of all communication between you and the Student. Communication methods can include outside emails, instant messages, telephone or in-person conversations. Important details includes information on the scope, deliverables, time frames, price, feedback, revisions, schedule changes, vacation, availability, delays, acceptance of deliverables, and completion of lessons.
  • Inform the Student of your availability and response time.
  • Inform the Student if you will be unavailable for more than one business day.
  • Respond to all Teaching Services requests with accept, decline, or propose a time/date change. Do not ignore Teaching Service requests and allow them to expire.
Guidelines if you will be unable to provide your Teaching Service
  • Immediately inform the Student offering an explanation and proposing a revised date.
  • Immediately alert RealSasl Customer Service so that RealSasl is aware of the situation and can offer assistance to the Student.
  • If you were unable to inform the Student in advance due to an emergency situation, you are required to give an explanation to the student as soon as you are able to.
Guidelines for after you have provided your Teaching Service
  • Use the RealSasl Payment Service to handle all financial matters related to your Teaching Service.
  • Provide helpful, objective, balanced feedback for the Student.
Student Complaints and Refunds

Any Student who is dissatisfied with your Teaching Service is required to contact you directly via Skype or Zoom regarding any issues or complaints. You should try to resolve any issue or complaint directly with the Student first.

If the issue or complaint cannot be resolved, between the Teacher and the Student, RealSasl will use all records of communication as evidence to make a determination on how to adjudicate the dispute. RealSasl shall have the right, in our sole discretion:

  • To transfer credits, offer a refund, or reverse a transaction.
  • To designate who shall bear the expenses resulting from any such actions.
Additional Guidelines for Teaching Services
  • Agree to maintain the privacy of RealSasl Students. This includes not soliciting any personally identifiable information (such as birth date, age, government issued number, phone number, or home address).
  • Agree to maintain the privacy of your personal details. This includes personal financial information regarding your Teacher Wallet.
  • Agree to maintain personal records for all invoices and payments.
  • Agree to cooperate with RealSasl in anti-fraud actions, and in Dispute Resolution.
  • Report any conduct violations, including misuse of ratings and feedback.
  • Not use Prohibited Content, or content that violates copyright.

49. Providing Teaching Services

You are expected to perform in a manner that results in a consistently high level of Student satisfaction. You are in breach of these Teacher Terms if you:

  • Fail to deliver any Teaching Service for which payment was accepted.
  • Fail to take reasonable efforts to resolve a dispute with a Student.
  • Create unacceptable levels of Student dissatisfaction
  • Violate the Terms of Service, Privacy Policy or other policies

50. Teacher Removal from the Site

RealSasl reserves the following rights to take any of the following actions at any time and at our sole discretion:

  • Cancel your listed Teaching Service
  • Limit your Account privileges
  • Suspend or terminate your Account
  • Adjust your Teacher Wallet balance and withhold all payments
  • Contact law enforcement or seek legal remedies

51. License Grants

License Grant for Teacher Content to Students

You hereby agree that any user who purchases your Teaching Services will be granted a right to use the Content in your Teaching Services solely for personal and non-commercial educational purposes. You acknowledge that all of the Content you submit to the Site is subject to the representations, warranties, license grants and other provisions contained in the Terms.

License Grant for Teacher Content to RealSasl

You acknowledge that RealSasl may use your Content and information about your Teaching Services in marketing, advertising and promotion of our Site or Application in any medium. You also give RealSasl permission to use your name as part of marketing, advertising or promotion.

License Grant for Teacher Introduction Video

RealSasl has the rights to use your Teacher Introduction video for marketing, advertising or promotional purposes. RealSasl may publish teacher videos to our official channels in third-party video hosting and streaming services, such as Youtube, Vimeo, Youku, or others, as to ensure accessibility and visibility to RealSasl students regardless of location.
